Arctic Star Exploration Corp. (“Arctic Star” or the “Company”) is pleased to announce that it has amended the terms of its previously announced financing described in its press releases of February 2, February 4, , February 19 and February 24, 2021. The Company previously disclosed that it would issue up to 26,000,000 units (the “Units”) at a price of $0.05 per Unit, for gross proceeds of $1,300,000. Due to further increased demand, the Company today announces that it has increased the number of Units to be issued, such that it will issue up to 34,000,000 Units for gross proceeds of up to $1,700,000.
Each Unit will be comprised of one common share in the capital of the Company (each, a “Share”) and one non-transferable share purchase warrant (each, a “Warrant”). Each Warrant will entitle the holder to purchase one additional Share in the capital of the Company (each, a “Warrant Share”) for a period of 24 months from the closing date at an exercise price of $0.10.
All securities will be subject to a four-month hold period from the closing date. The Private Placement is subject to TSX Venture Exchange (“TSXV”) approval.
The Company intends to use the proceeds from the Private Placement for exploration on the Diagras Diamond Project and for general working capital.
